ברוך הבא לאתר https://shikunenergy.com/ (להלן – “האתר”) של חברת שיכון ובינוי אנרגיה בע”מ (להלן – “החברה”). הגישה והשימוש באתר הינם בכפוף לתנאים המפורטים להלן (להלן- “תנאי השימוש”).

אנא הקפד לעיין בתנאי השימוש מאחר ועצם השימוש והפעילות שלך באתר מהווים הסכמה מצידך לתנאי השימוש ללא כל הגבלה או הסתייגות. תנאי השימוש מסדירים את היחסים בין החברה לבין כל אדם הגולש ו/או צופה ו/או משתמש בדרך אחרת באתר או במידע המצוי בו (להלן – “המשתמש”). האמור בתנאי השימוש בלשון זכר יחיד נועד לנוחות בלבד, ומתייחס לנשים וגברים כאחד.

המידע – כללי

האתר בכללותו – כולל כל המידע המופיע בו והתוכנה העומדת בבסיסו מוצע לציבור כמות שהוא (As Is). אמנם, נתכוונה החברה כי המידע יהיה נכון ומדויק ואולם, יתכן והמידע אינו שלם או לא מעודכן ולחליפין יתכן ונפלו טעויות טכניות או אחרות במידע. החברה אינה אחראית לאי דיוקים, או להעדר עדכון או לטעויות או חוסרים שנפלו ביחס למידע. החברה מבהירה בזאת שהמידע הכלול באתר הינו למטרות כלליות ואינפורמטיביות בלבד ואינו מהווה המלצה ו/או חוות דעת ו/או הצעה לרכישת/מכירת ניירות ערך של החברה או כל מוצר כלשהו או למתן שירות כלשהו, ועל כן מודע המשתמש ומסכים לכך שכל הסתמכות על נתונים, הצהרות, הבעות עמדה, עצות או כל מידע אחר המוצג באתר נעשה לפי שיקול דעתו של המשתמש ובאחריותו הבלעדית. יתכן וחלק מהמידע מקורו מצדדים שלישיים, מובן שלחברה אין כל אחריות בגין מידע מעין זה, ואין החברה ערבה למידת הדיוק של מידע זה. תכונות, מפרטים, עיצוב או חזות של מוצרים המתוארים או מוצגים באתר לרבות כל תמונה או הדמיה של מוצר הכלולים באתר הינם לצורכי המחשה בלבד אלא אם נאמר אחרת. במידה ותתגלה אי התאמה ו/או סתירה בין המידע באתר לבין מידע הקיים במסמכיה הרשמיים של החברה, לרבות מידע שנמסר על ידי עובדי החברה, בין אם בכתב ובין אם בעל פה, ייחשב כנכון המידע הנמצא במשרדי החברה, במסמכיה הרשמיים, או שנמסר על ידי עובדי החברה המוסמכים ומורשים לכך.
מבלי לגרוע מהאמור לעיל, מובהר בזאת שבמידה ונמסר מידע כספי כלשהו באתר, מידע זה מתייחס לתאריך הדו”ח הכספי ממנו נלקח ואיננו משקף בהכרח את המצב נכון לתאריך פרסומו והופעתו באתר. כל מידע כספי או עסקי המופיע באתר ניתן לצורך נוחות בלבד, אולם רק המידע הרשמי המדווח ע”י החברה בפרסומים הפורמליים של החברה לרשות לניירות ערך ולבורסה בתל אביב, הינו מחייב.
המידע באתר זה יתכן וכולל תחזיות, הערכות, אומדנים ומידע אחר המתייחסים לחברה או לאירועים ועניינים עתידיים, שמידת התממשותם אינה ודאית ואינה בשליטתה של החברה בלבד (מידע צופה פני עתיד). העובדות והנתונים העיקריים ששימשו בסיס למידע זה הינם עובדות ונתונים בנוגע למצב הנוכחי של החברה ועסקיה, עובדות ונתונים בנוגע למצב הנוכחי של תחומי הפעילות בהם פועלת החברה באזורי פעילותה, ועובדות ונתונים מאקרו כלכליים ואחרים, והכול כפי שידועים לחברה במועד בניית אתר זה

מובן, שמידע צופה פני העתיד אינו מהווה עובדה והוא מבוסס רק על הערכות סובייקטיביות של החברה. מידע צופה פני העתיד כפוף מטבעו לכך שלא יתממש בפועל ומידע כאמור הינו בלתי ודאי, בלתי ניתן להערכה מראש ולרוב אף אינו מצוי בשליטת החברה. התממשותו או אי התממשותו של המידע צופה פני עתיד תושפע, בין היתר, מגורמי סיכון המאפיינים את פעילות החברה, וכן מההתפתחויות בסביבה הכללית ובגורמים החיצוניים המשפיעים על פעילות החברה, אשר אינם ניתנים להערכה מראש ואשר אינם מצויים בשליטת החברה. תוצאותיה והישגיה בפועל של החברה בעתיד עלולים להיות שונים מהותית מאלו שהוצגו באתר זה. החברה אינה מתחייבת לעדכן או לשנות תחזית או הערכה כאמור על מנת שישקפו אירועים או נסיבות שיחולו לאחר מועד פרסום המידע באתר ואינה מתחייבת לעדכן אתר זה.

אי הצעה

כל מידע או דעה המוצגים באתר זה אינם מהווים המלצה להשקעה, ואינם מהווים הצעה או שידול לרכישה או מכירה של ניירות ערך של החברה או של חברות הקשורות אליה או של כל חברה אחרת. כל החלטת השקעה צריכה להתבסס על ייעוץ מקצועי של גורם מוסמך בלבד.

זכויות יוצרים

האתר והתוכן המופיעים בו לרבות עיצוב האתר, שרטוטים, תרשימים, איורים, צילומים, תמונות, מפות, קטעי אודיו, קטעי וידאו, טקסט, קוד, גרפיקה וכיוב’ (להלן – “המידע”) מוגנים ע”י חוקי זכויות יוצרים של מדינת ישראל, אמנות בינ”ל וחוקי זכויות יוצרים של מדינות אחרות. המידע הוא קניינה של החברה או של צדדים שלישיים אשר התירו לחברה לפרסם את המידע נשוא זכויות היוצרים באתר. המשתמש מתחייב שלא להכניס שינויים, לעבד, לערוך, להעתיק, לפרסם, להפיץ, לשדר, להציג, לבצע בפומבי, לשכפל, לעשות יצירות נגזרות, להעמיד לרשות הציבור, להשכיר או למכור כל חלק מן המידע או להתיר או לסייע לאחרים לנקוט פעולה מן הפעולות לעיל, ללא הסכמתה הכתובה והמפורשת של החברה מראש. פניה לקבלת הסכמת החברה ניתן לעשות בהודעת דוא”ל לכתובת info@shikunenergy.com :המשתמש מכיר בזכויות היוצרים הקיימות במידע ומתחייב שלא לעשות כל שימוש מסחרי במידע, כל שימוש בניגוד לאמור בדיני זכויות היוצרים ובאמנות בינ”ל, או לגרום לכל שינוי או סילוף במידע או בכל חלק הימנו. אין להציג את המידע בדרך של מסגור (framing) או בכל דרך אחרת, אלא אך ורק על ידי קישור ישיר לדף האינטרנט המלא והמקורי מתוך אתר החברה. החברה חופשיה לחסום כל קישור, שאינו מקיים את התנאי הנזכר, לפי שיקול דעתה.

סימני מסחר, מותגים

סמל החברה וכן כל סימן רשום אחר של החברה ו/או מי מן החברות בקבוצה, בין אם מצוין בצדם הסימון ובין אם לאו, הם סימני מסחר רשומים ולכן קניינה של החברה, או מותגים בבעלות החברה, אשר השימוש בהם מותר בלעדית לחברה. כל הסימנים האחרים המצויים באתר הם סימני מסחר, או מותגים קנייניים של בעליהם, בהתאמה. לא תיעשה כל פעולה העלולה לפגוע בזכויות הקניין על סימני המסחר או המותגים.

קישורים אלקטרוניים (Links)

באתר זה עשויים להיכלל קישורים לאתרי אינטרנט שאינם מופעלים ע”י החברה. קישורים אלו נועדו לנוחיותך בלבד אין לחברה שליטה על אתרי אינטרנט אלה, ואין היא נושאת באחריות לתכנים המופיעים באתרים אלו. אין בהכללת קישורים לאתרים אחרים כדי להעיד על תמיכה בתוכן של אתרים אלו או על כל קשר אחר לאתרים אלו או למפעיליהם. החברה אינה מתחייבת לתקינות הקישורים, או לכך שקישורים אלו מכוונים לאתרים אשר אליהם מתיימר כל מצביע אלקטרוני לקשר. החברה רשאית לפי שיקול דעתה הבלעדי להסיר כל קישור מהאתר ו/או להוסיף קישורים נוספים.

חובות המשתמש

המשתמש מתחייב להשתמש באתר בתום לב ובהתאם להוראות תנאי שימוש אלה. מבלי לגרוע מהאמור, השימוש ייעשה בכפוף לכל דין ובהתאם להנחיות החברה ו/או מי מטעמה והמשתמש מצהיר בזאת ומתחייב בכניסתו לאתר כי הוא יימנע מכל פגיעה שהיא בחברה ו/או בצדדים שלישיים כלשהם באמצעות השימוש באתר. עצם הכניסה והשימוש באתר ופעילות המשתמש מעידים על הסכמת המשתמש ולהתחייבותו לפעול או להימנע מלפעול כדלקמן:

בעצם כניסתו לאתר המשתמש מסכים לכל האמור בתנאי השימוש לעיל ולהלן.
המשתמש מתחייב שלא להעלות, לשלוף, לשדר, להפיץ או לפרסם מידע או חומר אחר העלול להגביל או למנוע מאחרים את השימוש באתר.
המשתמש מתחייב שלא לעשות כל שימוש מסחרי במידע. הזכות לעשות שימוש במידע נתונה לשימושו האישי והפרטי בלבד של המשתמש. אין לעשות כל שימוש מסחרי במידע ו/או למטרות רווח כלשהן והמשתמש אינו רשאי להרשות שימוש כלשהו במידע כאמור לצדדים שלישיים כלשהם, בין בתמורה ובין שלא בתמורה. מובהר כי אין לעשות שימוש במידע כלשהו המתפרסם באתר לצורך הצגתו ברשת האינטרנט ו/או בשירות אחר כלשהו, מבלי לקבל את הסכמתה של החברה לכך בכתב ומראש ובכפוף לתנאי ההסכמה כאמור, אם וככל שתינתן. המשתמש מתחייב כי הוא לא יאגור מידע באמצעות תוכנות מסוגים שונים או יפיץ מידע שפורסם באתר ברבים באופן מסחרי או במסגרת מסחרית או לכל מטרה אחרת. אין להציג את האתר בעיצוב או ממשק גרפי שונים מאלה שנקבעו על ידי החברה, אלא בכפוף לקבלת הסכמתה לכך מראש ובכתב ואין להציג את האתר באופן הגורע בצורה כלשהי מן התכנים המצויים בו.
המשתמש מתחייב שלא להעלות, לשלוף, לשדר, להפיץ או לפרסם מידע או חומר אחר העלול לעודד, לשדל, להמריץ או לסייע לאחר לבצע מעשה האסור על פי חיקוק או העלול לעורר אחריות משפטית.
המשתמש מתחייב שלא להעלות, לשלוף, לשדר, להפיץ או לפרסם מידע או חומר אחר הכולל וירוס או תוכנה אחרת העלולה לחבל במערכות מחשב.
המשתמש מתחייב שלא להעלות, לשלוף, לשדר, להפיץ או לפרסם מידע או חומר אחר העלול להפר זכויות קניין של אחר, לרבות, זכויות קניין רוחני, זכויות להגנת הפרטיות ו/או כל זכות קניינית אחרת.
המשתמש מתחייב שלא להעלות, לשלוף, לשדר, להפיץ או לפרסם מידע או חומר אחר הכולל פרסומת מכל סוג שהוא בלי הרשאה מפורשת מראש של החברה.
המשתמש מתחייב שלא להעלות, לשלוף, לשדר, להפיץ או לפרסם מידע או חומר אחר האסור לפרסום או לשימוש, בשל היותו בגדר איום, פגיעה, העלבה, הוצאת דיבה, השמצה, גזענות, פורנוגרפיה או ביטוי וולגרי אחר.
המשתמש מתחייב שלא לעשות שינויים ו/או להתערב בצורה כלשהי בקוד המקור של האתר ו/או המידע ולא להעלות תוכנות ו/או יישומים כלשהם שעלולים לפגוע או לגרום נזק לחברה ו/או לצדדים שלישיים אחרים כלשהם.
המשתמש מודע למגבלת רשת האינטרנט לגבי אבטחת מידע ברשת ומשחרר את החברה מכל אחריות בעניין זה.
המשתמש מתחייב לא להשתמש באתר באופן שאינו תואם לכל דין ו/או שאינו מוסכם או שמהווה זיוף, שינוי או מחיקת מידע.
המשתמש מסכים לשפות ולפצות את החברה בגין כל נזק, ישיר או עקיף ו/או כל הוצאה שייגרמו לחברה בקשר לתביעה ו/או לדרישה הנובעות מביצוע הסכם זה.
המשתמש מסכים כי, מבלי לפגוע בכל זכות אחרת של החברה, במקרים בהם החברה תחשוש כי השימוש של המשתמש באתר אינו מתיישב עם הוראות הסכם זה ו/או כל דין, תהא החברה רשאית להתחקות אחר השימוש של המשתמש באתר, למנוע מהמשתמש גישה לאתר, או להעביר את דפוסי התנהגות המשתמש באתר לצדדים שלישיים אשר יוכיחו, להנחת דעתה של החברה, כי הינם נפגעים מפעילות המפרה של המשתמש וכן כל פעולה אחרת אשר החברה תמצא לנכון לנקוט כדי להגן על קניינה ו/או על זכויותיה.

אחריות

המידע והשירותים באתר מוצעים למשתמשים במצב כמות שהם (AS IS) והמשתמש מסכים ומאשר כי החברה, לרבות נציגיה, עובדיה, מנהליה, בעלי מניותיה והפועלים מטעמה, לא יהיו אחראים לכל נזק שהוא (ישיר ו/או עקיף) שנגרם למשתמש ו/או צד שלישי כלשהו בקשר עם השימוש שהמשתמש עשה, בין במישרין בין בעקיפין, במידע ו/או להסתמכות המשתמש עליו.

השימוש באתר נעשה על אחריות המשתמש בלבד. החברה אינה נושאת בכל אחריות או חבות בגין כל שיבוש, טעות או השמטה בתכולת האתר. החברה לא תהא אחראית לכל נזק, ישיר, עקיף, תוצאתי או אגבי עקב גישה לאתר, והשימוש בו או עקב מניעה כלשהי מהגישה או השימוש באתר, בין בעילה חוזית ובין בעילה נזיקית. החברה אינה אחראית לכל נזק, לרבות בשל “וירוסים” או יישומי תוכנה למיניהם, לציוד המחשב של המשתמש או לכל רכוש אחר של המשתמש, שיגרמו בשל גישה, גלישה או שימוש באתר, ובכלל זאת, בשל הורדת מידע מהאתר.

מובהר כי החברה ו/או ספקי מידע כלשהם מטעמה לרבות עובדיה ו/או נציגיה ו/או מי שפועל מטעמה, לא יהיו והם אינם אחראים בשום אופן להתאמת האתר, לרבות המידע לצרכי ו/או למטרות המשתמש.
אין החברה יכולה לפקח על כל מידע והודעה המועלים, אם יועלו, על האתר על ידי משתמשים אחרים. האמור בסעיף זה מתווסף לכל אמירה המיוחסת לאחריות החברה בקשר לתנאי השימוש ואין בכוונת סעיף זה להחליף אמירות נוספות באשר לאחריותה של החברה בהקשרים ספציפיים כדוגמת אחריות בגין קישורים, אחריות בגין הגנת הפרטיות, אחריות בגין פעולה בלתי מורשה של משתמשים או בכל הקשר אחר, והכל כמפורט בתנאי השימוש על סעיפיו השונים ו/או במלל הכלול באתר עצמו.
החברה אינה מתחייבת כי האתר יהא זמין בכל עת וכי פעולת ו/או שלמות האתר לא יופרעו ו/או יתנהלו בלא הפסקות ו/או בלא טעויות, קלקולים, תקלות או כשלים. החברה לא תהיה אחראית להפרעות כאמור לעיל, והיא לא תהיה אחראית לאי התאמות למשתמש בטיב, אופי והיקף המידע (לרבות דרך העברתו), לאובדן, הפסד או נזק ישיר, עקיף תוצאתי או אחר, שיגרמו למשתמש או לצד ג’ כלשהו בקשר עם הפרעות כאמור ו/או בקשר עם הפסקת שירותים מסוימים באתר, מכל סיבה שהיא
החברה לא תישא בכל אחריות לחשיפת פרטים שנמסרו על ידי משתמש לאתר במקרה של חדירה שלא כדין למערכות המחשב של האתר.

פרטיות ומאגרי מידע

בכפוף לסעיף ‎6.12 לעיל ולאמור בסעיף ‎8 זה, מתחייבת החברה , שלא למסור נתונים אישיים של המשתמש, למעט לספקי ציוד ו/או שירותים של החברה בקשר לתפעול האתר. על אף האמור לעיל, מובהר בזאת כי החברה תשתף פעולה עם כל רשות אכיפה ותציית לכל צו שיפוטי המורה לחברה לגלות את זהותו של המשתמש אשר פעל לכאורה בניגוד לחוק, או תוך הפרת זכויות הזולת. כן רשאית החברה להשתמש בפרטים שמסר המשתמש במסגרת ביקורו באתר, לצורך ניתוח ומסירת מידע סטטיסטי או אחר לצדדים שלישיים ובלבד שמידע כאמור לא יזהה את המשתמש אישית באופן שמי.
משתמשים אשר ימסרו את פרטיהם בתיבות “צור קשר” שבאתר, נותנים בזאת הסכמתם להכללתם במאגרי המידע שמנהלת החברה בהתאם לחוק הגנת הפרטיות 1981- התשמ”א (להלן- “החוק”). המאגרים ישמשו את חברת שיכון ובינוי אנרגיה, חברות נוספות בקבוצה וחברות קשורות בפרויקטים משותפים. משלוח דואר בדיוור ישיר כפוף להסכמת המשתמש כמפורט בגוף האתר.
המשתמש מסכים כי בכפוף לדין, החברה תהיה רשאית להגביל או לחסום את המידע (כולו או חלקו) בפני משתמש, באופן זמני או קבוע, במידה והמשתמש השתמש במידע בניגוד לדרישות כל דין ו/או בניגוד להוראות תנאי השימוש או מכל סיבה סבירה אחרת. החברה תהא רשאית למסור את פרטיו האישיים של המשתמש לרשויות מוסמכות או לצדדים שלישיים, במידה ועל פי שיקול דעתה, הנסיבות מצריכות זאת.
הטיפול בפרטי משתמש יתבצע גם לפי מדיניות הפרטיות, כפי שתתעדכן מעת לעת ומהווה חלק מתנאי שימוש אלה.
החברה רשאית לשלוח למשתמש קבצי זיהוי שמאפשרים לחברה לזהות את המשתמש ואת מחשב המשתמש ולהשתמש במידע מזהה זה לצרכיה ו/או לצרכי שותפים עסקיים.

הפסקת פעילות האתר

החברה רשאית לחדול בכל עת מהפעלת האתר בין לתקופה קצובה ובין באופן קבוע., ללא הודעה מוקדמת ומבלי לקבל את הסכמת המשתמש לכך.

שונות

החברה שומרת לעצמה את הזכות, להסיר, לתקן, להוסיף או לשנות כל חלק מהמידע המצוי באתר על ידי עדכון האתר, מעת לעת. למשתמש לא תהא כל טענה כלפי החברה בגין שינויים במידע באתר. החברה שומרת לעצמה את הזכות לסרב להעניק גישה לאתר זה או לכל חלק ממנו לכל משתמש על פי שיקול דעתה הבלעדי וללא כל התראה מוקדמת.
החברה שומרת לעצמה את הזכות, לתקן, להוסיף או לשנות את תנאי שימוש אלה על ידי עדכון עמוד זה, מעת לעת. כל שינוי בתנאי השימוש יכנס לתוקף מיד עם פרסומו באתר במסגרת תנאי השימוש.
החברה רשאית להמחות את זכויותיה לפי תנאי שימוש אלה לכל צד שלישי כפי שתמצא לנכון וללא כל חובה מצד החברה לפרסם את דבר ההמחאה, כאמור.
המשתמש מסכים שתשדורת מידע לאתר או ממנו אינם יוצרים בינו לבין החברה כל קשר, או יחסים בין המשתמש לבין החברה אשר חורגים מעבר לאלה המפורטים בתנאי השימוש.
הפעילות באתר זה וכל עילה משפטית הנובעת מהשימוש באתר, לרבות תוקפם ופרשנותם של תנאי השימוש יוכפפו לדין הישראלי בלבד, וסמכות השיפוט הבלעדית בכל סכסוך הנוגע לאתר זה ולשימוש בו תהא נתונה לבתי המשפט המוסמכים בתל-אביב.
היה ויקבע שחלק כלשהו מתנאי השימוש אינו תקף או שאינו בר אכיפה, אזי הסעיפים שנשלל תוקפם או שהוחלט כי אינם אכיפים ייחשבו כמוחלפים בסעיפים תקפים ואכיפים, אשר תוכנם תואם במידת הקירוב הגדולה ביותר את כוונת הסעיפים המקוריים ויתר סעיפי תנאי השימוש יישארו בתוקפם
